The law firm Leroy and Associates provided legal assistance to ENGIE Romania throughout the entire acquisition process of a wind project with an installed capacity of 54 MW, located in Mereni commune, Constanța County.
The project was acquired in a “ready to build” stage, having obtained all the necessary construction permits to begin the works. Construction is scheduled to start at the end of 2025, with commissioning estimated for 2027. Once operational, the wind farm will produce approximately 180 GWh of green energy annually, equivalent to the consumption of around 90,000 households.
The Leroy and Associates team dedicated to this project—mainly composed of Andreea Toma (Partner), Adriana Spătaru (Counsel), and Cristian Bumbac (Senior Associate)—conducted a full legal due diligence of the project, reviewed and negotiated the share purchase agreement (SPA), and provided assistance with fulfilling the conditions precedent for closing the transaction, including obtaining approval from the Commission for the Examination of Foreign Direct Investments (CEISD).
